Transportation Contract
This Transportation Contract (hereinafter referred to as the "Agreement") is made and entered into as of [Date] (the "Effective Date"), by and between [Company Name], a corporation organized and existing under the laws of [Country/State], with its principal place of business at [Address] (hereinafter referred to as the "Carrier"), and [Client Name], a corporation organized and existing under the laws of [Country/State], with its principal place of business at [Address] (hereinafter referred to as the "Client").
WHEREAS, the Carrier has agreed to provide transportation services for the Client's goods; and
WHEREAS, the Client wishes to engage the Carrier to transport such goods in accordance with the terms and conditions set forth herein.
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties hereto agree as follows:
1. Scope of Services
The Carrier shall provide transportation services for the Client's goods as specified in Exhibit A attached hereto and incorporated herein by reference. The Carrier agrees to use reasonable care in the performance of its obligations hereunder.
2. Term
The term of this Agreement shall commence on the Effective Date and shall continue until terminated by either party upon [Number] days' written notice to the other party.
3. Fees and Payment
The Client shall pay the Carrier the fees for the transportation services rendered in accordance with the rates set forth in Exhibit B attached hereto and incorporated herein by reference. All payments shall be made within [Number] days after receipt of the invoice from the Carrier.
4. Liability and Indemnification
The Carrier shall not be liable for any loss, damage, or delay caused by acts of God, war, civil commotion, strikes, lockouts, or other causes beyond the Carrier's reasonable control. The Client shall indemnify and hold harmless the Carrier from and against any claims, damages, liabilities, costs, and expenses arising out of or in connection with the Client's breach of this Agreement.
5. Confidentiality
Both parties agree to keep confidential all non-public, sensitive information disclosed by the other party, except as required by law or with the prior written consent of the disclosing party.
6. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of [Country/State]. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [City, Country/State].
